Contributor Terms of Service for All upLVL™ Services

Welcome to upLVL Services, operated by upLVL, Inc. ("upLVL"). These Terms of Service (the "Terms") govern access to and use of the upLVL platform, including any websites, applications, tools, and services provided by upLVL.

By accessing or using upLVL Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Use of Services

upLVL Services are intended for individuals who are 21 years of age or older. You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

2. Account Registration

Certain features require account registration. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

3. Prohibited Activities

You may not:

Access accounts or systems without authorization;
Interfere with platform operations;
Upload content that is unlawful, infringing, or harmful;
Misrepresent your identity or affiliation.
upLVL reserves the right to determine prohibited conduct in its sole discretion.

4. Intellectual Property (Platform)

All platform content, software, features, and functionality (excluding Contributor Content) are owned by upLVL and protected by intellectual property laws. No rights are granted except as expressly stated.

5. Privacy

Use of the Services is subject to the upLVL Privacy Policy.

6. Disclaimers

Services are provided “as is” and “as available.” upLVL disclaims all warranties to the fullest extent permitted by law.

7. Digital Goods and Sales

All sales of digital goods are final and non-refundable.

8. Limitation of Liability

To the fullest extent permitted by law, upLVL shall not be liable for indirect, incidental, or consequential damages.

9. Indemnification

You agree to indemnify upLVL against claims arising from your use of the Services or violation of these Terms.

10. Modifications and Termination

upLVL may modify or discontinue Services at any time and may terminate access with or without cause.

11. Governing Law

These Terms are governed by the laws of the State of Oregon, with exclusive jurisdiction in Multnomah County, Oregon.

Contributor Monetization Terms - OPTIONAL

The following additional terms apply only to users who apply to become Contributors and monetize content on the upLVL platform. These terms supplement and form part of the Terms of Service.

If you wish to become a Contributor, you must:

Click the “I Accept the Terms of Service and Privacy Policy ” button, and provide the requested contact and business information for review and approval.
Monetization is subject to upLVL’s approval.

12. Definitions

Contributor – A user approved to upload content for monetization.
Content – Approved training materials, courses, videos, or assessments.
Revenue – Gross amounts received from Members for access to Content.
Net Revenue – Revenue minus taxes, refunds, chargebacks, and transaction fees.

13. Content Ownership and License

Contributors retain ownership of their Content.

Contributors grant upLVL a worldwide, non-exclusive, sublicensable, royalty-free license to host, distribute, promote, and sell access to Content on the platform.

14. Revenue Share and Payments

Contributor shall receive 70% of Net Revenue

upLVL shall retain 30% of Net Revenue

Payments:

Calculated quarterly
Paid via ACH or designated payment system
Issued on or before the 15th day following each quarter
$25 minimum payout threshold

15. Reporting

Contributors will have access to quarterly revenue summaries. Discrepancies must be raised within 30 days.

16. Taxes

Contributors are responsible for all applicable taxes. upLVL may issue required tax forms (e.g., IRS Form 1099).

17. Content Standards and Compliance

Content must comply with:

Applicable laws and regulations
Intellectual property ownership requirements
upLVL brand and community standards
upLVL may remove or disable Content at its discretion.

18. Withholding and Suspension

upLVL may withhold payments if fraud, legal issues, or Terms violations are suspected.

19. Termination of Contributor Status

Either party may terminate monetization participation. Accrued but unpaid amounts will be paid in the next payout cycle, subject to these Terms.

20. Acceptance and Electronic Agreement

By clicking “I Accept the Terms of Service and Privacy Policy” and submitting the required contact information, you:

Agree to be bound by these Contributor Terms;
Represent that you have the authority to publish and monetize the Content;
Acknowledge that approval is required before monetization begins.
These Contributor Terms are incorporated into the upLVL Terms of Service. In the event of conflict, the Contributor Terms govern with respect to monetization.
These Contributor Terms are subject to modification by upLVL in the future. upLVL will provide notice of updates to the email address provided by you.
